General Terms and Conditions of Hollandsche Waaren Webshop

1. General

1.1 These terms and conditions are applicable to all agreements you conclude with Hollandsche Waaren, hereinafter referred to as HW. 

1.2 By placing an order you accept the general terms and conditions.

1.3 The instructions to order online can be found in the webshop.

1.4 HW is entitled to refuse an order, stating the grounds for doing so, or to attach special conditions to the delivery.

1.5 The agreement is concluded the moment HW confirms your order by e-mail.

 

2. Contact

2.1 The HW webshop is part of Hollandsche Waaren®, a registered trademark and listed as such in the trade register under number 27266573. VAT number: NL166488975B01 

2.2 Our contact address is: Hollandsche Waaren, Saturnusstraat 60 – unit 105, 2516 AH Den Haag, The Netherlands.

2.3 From Monday until Friday you can reach the office from 9 am until 5 pm on the following phone number +31-703623951. On Saturday and Sunday we are closed. 

2.4 You can send an email to info@hollandschewaaren.nl at any time. We will contact you as soon as possible. 

 

3. Prices and costs inside EU

3.1 Prices listed in the webshop include 21% VAT.

3.2 Prices listed in the webshop exclude shipping costs.

3.3 For the shipping costs inside EU, which are charged for every webshoporder, HW charges the following:

3.4 Outside EU:

If you are based outside EU and you would like to place an order, please contact us first.

Shipping costs for countries outside EU will be based on actual size, volume, weight and are ex works. Therefor costs for  customclearing and duties will be charged if necessary. 

 

3.5 All prices are under reserve of misprints and printer’s errors. HW will not take any responsibility for the consequences. 

 

4. Product Information

4.1 All products of HW are hand-made. Therefore little differences among products in terms of shapes and glazing may exist. We believe that this suits the authentic look-and-feel of the ceramic. 

4.2 Products of HW are made in the Netherlands and abroad. The products that are produced abroad are produced in studios only where expertise and working conditions are of the highest quality.

 

5. Delivery

5.1 HW takes the greatest care when receiving orders and shipping the ordered articles. HW sends the accepted orders as quickly as possible according to the order of arrival. 

5.2 Articles will be delivered within two to five workdays after payment of your order has been received, on condition that all articles are in stock.

5.3 If articles cannot be delivered at all or on time you will be notified accordingly no later than 7 days after placing your order.

5.4 HW is not liable for any damage caused by exceeded delivery periods.

5.5 After the third time of your order being failed to deliver by Post NL, followed by not picking up the order within the allocated time limit at the post office, the order will be sent directly back to us. If you wish the order to be resent, shipping costs will apply. However, if you choose to no longer receive the order the total amount of your order, excluding shipping/postage costs, will be refunded.

5.6 After refusing the order on the corresponded address, the order will be send directly back to us. If you wish the order to be resent, shipping costs will apply. However, if you choose to no longer receive the order the total amount of your order, excluding shipping/postage costs, will be refunded.

5.7 It might happen that articles will be out of stock or delivery to HW is delayed. To ensure that you do not receive all ordered articles later, HW will send you the available articles in the meantime. Unless confirmed differently by email. The delayed article will be sent to you as soon as HW receives it. HW does not charge any additional shipping costs.

 

6. Right of withdrawal
6.1 A reflection period of seven days is applicable to your purchases. You have a right of withdrawal during this period; i.e. you have the opportunity to return the articles you received. In that case you will have to contact HW by email. After giving approval, we will transfer the amount to be reimbursed to a bank or giro-account within 30 days. 

6.2 If you decide to return the articles, the shipping costs incurred for returning these articles will be borne by you.
If you receive a wrong article, an article containing a defect or an incorrectly delivered order, you must return the article or the order in an unused state to HW within seven days. In this case HW will pay the return costs.

6.3 In case of an article with a defect (ceramic defect, discoloration etc.) HW will replace the article and send it to you without any additional charges.

 

7. Transport guarantee

7.1 HW insures all shipments. If you notice that the packaging of your parcel is damaged before opening it, contact HW immediately. If you have already opened the package at the moment you notice any damage, please contact HW within no longer than 7 days. If you contact HW by email please attach a picture to it. 

7.2 HW will replace unused, damaged articles free of charge. If you contact HW after 7 days the damaged articles will no longer be replaced free of charge.

 

8. Privacy

8.1 By placing an order you permit HW to use your personal data if required. Your personal data will be registered in the customer file of HW. This entails that in addition to carrying out the agreement, your email address can be used for realizing marketing objectives and maintaining the customer relationship with you.

8.2 The personal data provided by you will not be shared with a third party for commercial purposes. 


9. Claims and consumer protection

9.1 Do not hesitate to contact HW if you are dissatisfied with our products or services. If you have a complaint about a delivered article, contact HW within 7 days after the shortcoming became apparent. 

9.2 HW always tries to resolve problems or complaints in consultation with the customer and in the best possible manner.


10. Payment

10.1 In the webshop you can pay by means of the iDEAL payment system, Paypal or credit card. These means of payment are clearly explained on the service page in the webshop under the heading “Ordering & Paying”.

10.2 HW retains the right to perform a check during a purchase. On the basis of the acquired information HW can offer alternative means of payment or cancel the order. No correspondence is possible with regard to any decisions or conclusions.

10.3 All transactions that occur via the webshop are encoded for your safety. 

10.4 HW does not accept orders from people younger than 18 who do not have the consent of their parents and/or guardians. 


11. Liability

11.1 HW does not accept any liability in relation to you for any damage, other than the damage that is covered by its liability insurance and insofar as the insurance company effects payment in such cases. 

11.2 Outside of the aforementioned cases, HW’s liability is always limited to no more than the amount of the purchase price of the relevant article(s). 

 

12. Force majeure

12.1 The obligations of HW will be suspended in a situation involving force majeure. 

12.2 If the period of force majeure is longer than two months, both you and HW are entitled to annul the agreement without any obligation to pay compensation. Situations that involve force majeure are strikes, illness among personnel, disruptions in transport and import/export bans, irrespective whether this occurs at HW or the suppliers of HW.

1. General

1.1 These terms and conditions apply to all agreements you conclude with Hollandsche Waaren, hereinafter referred to as HW. 

1.2 By placing an order you accept the general terms and conditions.

1.3 The agreement is concluded at the moment that HW accepts your order by email or starts processing the order.

1.4 The term ‘products’ is used in these terms and conditions and refers to all goods that will be delivered by HW, i.e. advices and creative expressions.

1.5 From these conditions can only be deviated in writing.

 

2. Contact

2.1 Hollandsche Waaren® is a registered trademark and listed as such in the trade register under number 27266573. VAT number: NL166488975B01 

2.2 If you would like to visit the HW studio at the CabFab The Hague, please contact HW for an appointment. Contact address: Saturnusstraat 60 – unit 105, 2516 AH Den Haag. 

2.3. From Monday until Friday you can reach the studio from 9 am until 5 pm on the following phone number +31-703623951. On Saturday and Sunday the studio is closed.

2.4 You can send an email to info@hollandschewaaren.nl at any time. HW will contact you as soon as possible.

3. Prices

3.1 All indicated prices are without engagement. Prices are per item, unless stated differently.

3.2 Stated prices are excluding 21% VAT.

3.3 Prices exclude shipping costs.

3.4 All prices are under reserve of misprints and printer’s errors. HW will not take any responsibility for the consequences.

 

4. Product Information

4.1 All products of HW are hand-made. Therefore little differences among products in terms of shapes and glazing may exist. HW believes that this suits the authentic look of ceramic. 

4.2 Products of HW are made in the Netherlands and abroad. The products that are produced abroad are produced in studios only where expertise and working conditions are of the highest quality.

4.3 Little imperfections with regard to indicated sizes, weights, colors and other similar inaccuracies do not count as defects. The Dutch commercial practices establish if it falls within the scope of an error.

 

5. Retention of title

5.1 HW reserves the ownership of all goods delivered or to be delivered until all amounts due or debtors, because you failed in meeting the stated conditions, will be paid.

5.2 If amounts due or debtors will not be paid HW has the right to claim back all products that belong to her and take them back from where they are, on your expense. In order to claim them back you authorize HW to access the places where those products can be found. All products under your possession that belong to HW should be in the same condition as mentioned on the unpaid invoices.

 

6. Ordering

6.1 As soon as you place an order you will receive an order confirmation with the expected delivery time.

6.2 HW tries to provide everything directly from stock, however sometimes a product can be temporarily sold out. Whenever this happens it will be directly communicated to you. 

6.3 While ordering HW kindly asks you to keep your order units the same as the indicated packaging units.

6.4 Minimal first order quantity: €300,-  by repeat orders under €100,- we charge additional costs €5,- per order.

 

 

 

 7. Delivery

7.1 HW takes the greatest care when receiving orders and shipping the ordered articles. HW sends the accepted orders as soon as possible according to the order of arrival.

7.2 All shipments are send from our warehouse:

VAT Logistics, Cacaoweg 20, 1047 BM  Amsterdam

7.3 Orders will be send as completely as possible. However it could happen that articles will be out of stock or delivery to HW is delayed. In consultation will be discussed whether the order will be send incomplete but immediately or that the order will be send later but complete. In the first case the delayed products will be delivered subsequently without extra charges.

7.4 The expected delivery times that HW communicates to you are an indication. HW is not responsible for any damage as a result of exceeded delivery times.

 

7.5 For Holland regular delivery from €300,- will be delivered without any shipping fees to one address in the Netherlands. 

For delivery costs outside Holland please advise our shippinglist.

7.6 Deliveries outside the Netherlands are ex works.

 

 

8. Samples

8.1 When HW sends you samples, they need to be returned undamaged and in the original packing within 14 days after receiving.

8.2 Sample orders will be charged on your account. The samples have to be returned prepaid.

8.3 Damages, caused by you or during the period you had the samples at your disposal, will be on your charge. HW will not take samples back that are no longer appropriate for sale.

 

9. Specials

9.1 HW realizes special designs as business gifts or as unique products. The delivery period that will be communicated to you by HW is an indication. When deadlines are set, HW will do her best to deliver in time. However when delivery periods will exceed, HW will not be responsible for any damages caused by the exceeded delivery times.

9.2 HW retains the right in case of special designed products, to deliver and invoice a maximum of 10% more or less than the confirmed quantity.

9.3 For special realized products HW asks a deposit of 25% of the total amount. This amount should be paid prior to production.

 

10. Transport guarantee

10.1 HW tries to pack and send everything as carefully and safely as possible. If you notice that the packaging of your parcel is damaged before opening it, contact HW immediately. If you have already opened the package at the moment you notice any damage, please contact HW within no longer than 8 days. If you contact HW by email please attach a picture to it.

10.2 HW will replace unused, damaged articles free of charge. If you contact HW after 8 days the damaged articles will no longer be replaced free of charge.

 

11. Reclamation

11.1 Do not hesitate to contact HW if you are dissatisfied with the products or services. If you have a complaint about a delivered article, contact HW within 8 days after the shortcoming became apparent. HW always tries to resolve problems or complaints in the best possible manner and in consultation with you.

11.2 HW is not forced to take back articles and credit them. If HW is ready to take back articles, only the highest paid invoice price or actual price if this price is below the former price, will be credited.

12. Payment

12.1 Before HW delivers, you will receive an invoice with a payment period of 21 days. HW has the right to set a different payment period or set other delivery conditions, i.e. “under reimburse” or “by return”.

12.2 Deliveries abroad receive a pro forma invoice.

12.3 After ignoring a second reminder of payment a debt collection agency will be informed. All costs involved will be for our account, in accordance with the rates used by the debt collection agency.

12.4 HW retains the right to perform a check during a purchase. On the basis of the acquired information HW can offer alternative means of payment or cancel the order. No correspondence is possible with regard to any decisions or conclusions.
12.5 An invoice can be objected only within 8 days after the invoice date.

 

13. Liability
13.1 HW does not accept any liability in relation to you for any damage, other than the damage that is covered by its liability insurance and insofar as the insurance company effects payment in such cases. 

13.2 Outside of the aforementioned cases, HW’s liability is always limited to no more than the amount of the purchase price of the relevant article(s). 

 

14. Force Majeure

14.1 In a situation involving force majeure the obligations of HW will be suspended or another agreement will be concluded. Within 8 days after your request HW will define in writing which option will apply.

14.2 If the period of force majeure is longer than two months, both you and HW are entitled to annul the agreement without any obligation to pay compensation. Situations that involve force majeure are strikes, fire, damage of products during transport, water damage, illness among personnel, disruptions in transport and import/export bans, irrespective whether this occurs at HW or the suppliers of HW.

 

15. Termination of the relationship

15.1 In case of liquidation or discontinuance of your company you are committed to inform HW in time.

15.2 During the period that you did not fulfill HW’s obligations, HW has the right to suspend (further) obligations to you. 

15.3 When the relationship between you and HW will be terminated or when your company will be transmitted to someone else, all products that are provided with a brand name or logo have to be presented to HW. If HW takes your offer, HW is tied to accept the offer at the actual selling price minus discounts and with exception of decrease in value due to age and/or damages. Considered that all invoices are paid. When invoices are not paid the purchase price will apply.

15.4 In the situation of winding-up HW has the right to cancel the agreement or put off (further) execution, without any obligations to reimbursement and without prejudice to any other future rights that will be accrued to HW.  

16. Copyright

16.1 Designs, drawings and models are, just like products to be designated for purchase, assets of HW. This also applies when costs are charged for them. Unless stated differently.

16.2 Without prior written approval it is not permitted to copy or reproduce a product or design as a whole or partly in original or modified appearance.

16.3 All conditions in the agreement are under the charge of the Dutch right and are deemed to be approved and concluded in the Netherlands.
